Plain-language summary first; the full terms follow.
Summary
- The AMC keeps MyRecords working and up to date on your own server: bug fixes, statutory updates (GST, e-invoice, e-way bill, TDS, PF, ESI, PT), help and training. On MyRecords Cloud, the same maintenance is part of your monthly fee.
- There are three tiers: Essential, Standard and Premium. They differ in support hours, response times and what is included.
- The fee is worked out on your setup value, as agreed in your order, excluding GST. It is paid yearly in advance.
- It starts the day after your free close-support period after go-live (hypercare) ends.
- Price rises at renewal are capped, at the rate stated in your order.
- New features you ask for, server hardware, third-party fees and travel are not included.
- If the AMC lapses, nothing is switched off. You stop getting updates and support until you renew.
- When you leave, you get a full export of your data in open formats within 30 days of notice.
Full terms
1. Who these terms are between
These terms are between Sripto Corporation Private Limited (“we”, “us”, “our”) and the client named in the order (“you”). They apply to the annual maintenance contract (“AMC”) for MyRecords on your own server, and to the maintenance part of a MyRecords Cloud subscription. If your signed order says something different, the order wins.

Unused how-to and change-request hours do not carry over to the next month.
3. Response times
3.1 A critical issue is one where you cannot bill, cannot file a return or use a statutory file before its due date, or the system is down. Everything else is a normal issue.
3.2 Response times count from when you report the issue through a listed channel, within the support hours of your tier. “Business hours” and “business days” mean those support hours, Monday to Saturday, excluding national holidays.
3.3 A response time is when a person starts working on your issue and tells you so. It is not a promise of a fix in that time. We keep you updated until the issue is resolved.
4. What is included
- Bug fixes: fixing behaviour that does not match the product’s documented behaviour.
- Statutory updates: changes needed because Indian GST, e-invoice, e-way bill, TDS, PF, ESI or professional tax rules, rates or file formats change, for the features you have.
- Updates and upgrades as shown for your tier, applied at a time agreed with you.
- How-to help, training, on-site visits and health checks as shown for your tier. On-site visits are in our city; elsewhere, travel and stay are charged at actual cost.
5. What is not included
- New features, reports, print formats, integrations or other changes you ask for, beyond any change-request hours in your tier. We quote these separately, at the custom-work rate in your order.
- Maintenance of custom work made only for you, which is charged as a yearly upkeep fee, as agreed in your order.
- On your own server: the hardware, operating system, network, power and backups off the server, unless you add server care, as in your order.
- Fees of third parties: WhatsApp messages, GST Suvidha Provider fees, payment gateway charges, and AI use above what your plan includes.
- Data entry, accounting or tax advice, and filing returns for you.
- Problems caused by changes made by anyone other than us, by misuse, or by outages of government portals, your internet or providers you connect.
- Travel, at actual cost.
6. Your part
- Name one or two people who report issues and can approve changes.
- On your own server: provide a server that meets our stated minimum, secure remote access that you grant our team for a specific job (it ends when the job is done), and somewhere to keep backups off the server. Keep the encryption keys safe.
- Check your own returns and filings with your accountant before you submit them. MyRecords prepares files; you remain responsible for what you file.
7. Start, term and renewal
7.1 The AMC starts the day after hypercare ends: 30 days after go-live for a small business, 45 for medium and 60 for large.
7.2 Each term is 12 months. It renews for another 12 months unless either of us gives written notice at least 30 days before the end of the term.
7.3 You can move to a higher tier at any time, paying the difference for the rest of the term. You can move to a lower tier at renewal.
8. Fees and payment
8.1 The fee is invoiced yearly in advance and is due as stated on the invoice. GST is added.
8.2 Multi-year prepayment discounts, if any, are shown in your order. The price is fixed for the prepaid period.
8.3 At renewal, the fee may rise by no more than the cap stated in your order over the previous year’s fee. We tell you the new fee at least 30 days before the renewal date.
8.4 The fee is worked out on the setup value of what we maintain. If you add modules, registrations or locations, the setup value and the fee go up from the date they are added.
9. If the AMC lapses
9.1 Nothing is switched off. MyRecords has no licence key or expiry date, and your system on your own server keeps running.
9.2 While the AMC has lapsed, we do not provide updates, statutory changes, bug fixes or support.
9.3 To restart, we first do a health check of your system, with access you grant for that job, and apply the updates you missed. That work is charged at the custom-work rate in your order. The new AMC term starts on the day it is done. We do not charge AMC for the months it had lapsed.
10. Your data and leaving
10.1 Your data belongs to you. We use it only to provide the service.
10.2 When you leave, we give you a full export of your data in open formats within 30 days of your written notice. Help moving it into another system is charged at cost.
10.3 Source code is not part of what we deliver. The open-source components in MyRecords remain under their own licences, and nothing in these terms limits the rights those licences give you. See open-source licences.
11. Escalation
If an issue is not moving as it should, ask for it to be escalated on the same ticket. It goes first to the support lead, then to the person who manages your account, and then to our founder. Premium clients have a named account manager to go to directly.
12. Ending the AMC early
Either of us can end the AMC by written notice if the other seriously breaks these terms and does not put it right within 30 days of being told. If we are the one in breach, we refund the fee for the unused part of the term. Otherwise, prepaid fees are not refunded.
13. Liability
13.1 Our total liability under the AMC is limited to the AMC fees you paid in the 12 months before the claim.
13.2 Neither of us is liable for indirect loss, such as loss of profit, or for penalties or interest arising from a return or filing you submitted.
13.3 Nothing in these terms limits liability that cannot be limited under Indian law.
14. Events outside our control
Neither of us is responsible for a delay caused by events outside reasonable control, such as natural disasters, government action, or the failure of government portals or internet providers. We tell each other as soon as possible and resume as soon as we can.
15. Law and disputes
These terms are governed by the laws of India. We will first try to settle any dispute by talking. If that fails, the courts that have jurisdiction over our registered office will decide it.
